Terms of Service

1. Parties and acceptance

These Terms of Service (“Terms”) form an agreement between you (“Customer”, “you”) and Unreel Talent FZCO(“Unreel Talent”, “we”, “us”), a company registered in the United Arab Emirates under a DMCC Free Zone trade licence with its registered address at Unreel Talent FZCO, DMCC Business Centre, Jewellery & Gemplex 3, Dubai, United Arab Emirates.

By creating an account, clicking “I agree”, or using the service, you accept these Terms, our Privacy Policy, our Acceptable Use Policy, and our Cookies Notice, which are incorporated by reference.

2. Eligibility

You must be at least 18 years old and legally able to enter a binding contract. You must not be located in, or ordinarily resident in, a country or region subject to comprehensive sanctions by the UAE, the UN, the EU, the UK, or the United States.

If you use the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and “you” refers to both you and the organisation.

3. The service

Unreel Talent is a managed content platform for creators and brands. It includes AI-assisted persona creation, script and campaign generation, video and voice generation via partner AI providers, phone-operated posting for eligible plans, creator marketplace features, analytics, and related tooling.

Feature availability, generation limits, and marketplace access depend on your plan. We may add, change, or remove features from time to time and will give reasonable notice of any material reductions to paid features.

4. Account and credentials

You are responsible for your account, for keeping credentials secure, and for all activity under your account. One individual may only operate one personal account unless otherwise agreed in writing. Notify us at security@unreeltalent.ai immediately if you suspect unauthorised access.

5. Plans, billing, and taxes

Current pricing is shown on our website at the time of purchase. Unless stated otherwise, fees are quoted in US Dollars and are exclusive of applicable taxes, including UAE VAT at the prevailing rate, which will be added where required.

Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected at checkout) until you cancel. Billing is processed by our payment provider (Stripe).

You may cancel at any time from the billing settings. Cancellation stops future renewals; the current paid period continues until it ends. Paid subscription fees are non-refundable except where required by applicable law.

6. Credits

Many platform actions (AI generation, publishing, analytics operations) are metered in credits. Credits come from two buckets and are governed by the rules below:

• Subscription credits are granted at the start of each billing cycle, do not roll over, and expire at the end of the cycle. They have no cash value and are not refundable.
• Top-up credits are purchased as one-off packs, persist until used, and are refundable on any unusedbalance for up to 30 days from the date of purchase. Once a top-up credit is consumed, it is not refundable.

Credits are non-transferable between accounts and have no cash value outside the platform. We will consume subscription credits before top-up credits where both are available.

Credit prices, conversion rates, and per-action costs may change with reasonable advance notice. Existing unconsumed top-up credits keep their value at the time of purchase for a minimum of 12 months after any rate change.

7. Price changes

We may change subscription prices for new billing cycles. We will give at least 30 days’ notice by email to your account address. If you do not want to continue at the new price, you can cancel before the change takes effect.

8. Your content

You retain ownership of the personas, scripts, reference media, and other content you create or upload (“Your Content”).

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display Your Content solely as needed to operate and improve the platform, provide the features you use, and comply with legal obligations. This licence ends when you delete the content or close your account, except where continued retention is legally required or necessary for the defence of legal claims.

9. AI-generated outputs

AI-generated content produced through the platform (“Generated Output”) is provided to you on a non-exclusive, worldwide basis for your lawful use, subject to these Terms and our Acceptable Use Policy.

AI systems can produce inaccurate, inappropriate, or infringing material. You are responsible for reviewing, fact-checking, and clearing Generated Output before using it publicly or commercially. We make no warranty that Generated Output is accurate, original, non-infringing, or fit for any particular purpose.

You may not represent Generated Output as being created by a real human in circumstances where that would mislead consumers, regulators, or platforms in violation of applicable law.

10. Likeness and persona rights

AI personas frequently involve the likeness, voice, name, or identity of a real person. When you create, upload, or generate content involving any such attributes, you represent and warrant that:

• The person depicted is you, or you have written permission from the depicted person to use their likeness, voice, and name in the manner you use them on the platform.
• You will not create non-consensual deepfakes, impersonate real individuals without their consent, or use the platform to harass, defame, or sexually depict any person.
• You have the rights necessary to grant the licences in these Terms and to publish the resulting content on the channels where you publish it.

We may remove content, suspend features, or terminate accounts at any time if we reasonably believe these representations are inaccurate. You indemnify us for claims arising from breach of this section — see Section 16.

11. Connected-account data and audience insights

When you connect a social platform (Instagram, TikTok, YouTube, and others) to your Unreel Talent account, you authorise us — within the scopes you approve at the platform’s OAuth screen — to access the profile, content, analytics, and aggregated audience demographic data that the platform exposes to you as the account owner. You represent that you have the right to grant this authorisation.

We use aggregated demographic data in two ways: (a) to show it back to you in your own Unreel dashboard, and (b) in network-level aggregates across every persona on the platform — anonymised and combined with others — to describe our overall reach in commercial conversations with brands. Individually-identifying follower data is never shared with brands or other third parties; in practice, the platforms do not give us that data either. Full details of what we collect and how long we keep it are in our Privacy Policy.

You can disconnect a platform at any time from account settings. When you disconnect, we stop pulling new data for that platform and retain past snapshots subject to the retention schedule in the Privacy Policy.

12. Acceptable use

Your use of the platform is subject to our Acceptable Use Policy. It prohibits (among other things) illegal content, non-consensual deepfakes, CSAM, hate speech, platform abuse, and evasion of third-party platform rules. Breach of the AUP is a material breach of these Terms.

13. Creator marketplace and payouts

On plans that include marketplace access, creators may be booked by brands through the platform. Payouts to creators are processed through Stripe Connect. By enrolling, creators accept the Stripe Connected Account Agreement and agree that Stripe is the party responsible for the payment services and custody of funds for payouts.

Platform fees, creator splits, and payout timing are published in-app and may change with reasonable notice. We retain the right to withhold payouts where reasonably necessary to investigate suspected fraud, chargebacks, sanctions issues, or breach of these Terms.

14. Affiliate and referral program

Eligible users may enrol in our affiliate program and earn recurring commissions on referred paid subscriptions. Commissions are paid on subscription revenue only (not top-up credits), and the Enterprise tier is excluded. Self-referrals, fraudulent referrals, and referrals acquired through prohibited marketing (spam, trademark abuse, incentivised click-farms) are void and may result in account termination.

Full program rules — including commission rate, attribution window, payout thresholds, and clawback on refunds — are published on the affiliate page and may be updated from time to time.

15. Confidentiality

Each party will protect the other’s confidential information with the same degree of care it uses to protect its own, and will not disclose it except to personnel and advisors with a need to know and who are bound by confidentiality obligations. This section does not apply to information that is public, independently developed, or required to be disclosed by law.

16. Indemnity

You will indemnify, defend, and hold harmless Unreel Talent FZCOand its officers, directors, employees, and agents from any third-party claim, loss, damage, or expense (including reasonable legal fees) arising from (a) Your Content or Generated Output used by you, (b) your breach of these Terms or the AUP, (c) your breach of the representations in Section 10, or (d) your violation of any law or third-party right.

17. Disclaimers and limits of liability

The platform is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, our aggregate liability under or in connection with these Terms in any 12-month period is limited to the greater of (i) the fees you paid to us in that period or (ii) US$100. Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, even if advised of the possibility.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

18. Suspension and termination

We may suspend or terminate your access to the platform for material breach of these Terms, abuse of the platform, non-payment, suspected fraud, or where required by law. Where reasonable, we will give you notice and a chance to cure. You may terminate at any time by cancelling and closing your account; sections that by their nature should survive termination will survive, including Sections 8, 9, 10, 15, 16, 17, and 20.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 30 days before they take effect. If you continue using the platform after changes take effect, you accept the updated Terms. If not, you may cancel before the effective date.

20. Governing law and dispute resolution

These Terms are governed by the laws of the United Arab Emirates. The parties submit to the exclusive jurisdiction of the DIFC Courts, Dubai for any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer protections available to you in your home jurisdiction.

21. General

• Entire agreement: these Terms, together with the Privacy Policy, AUP, and Cookies Notice, are the entire agreement between us on their subject matter.
• Assignment: you may not assign these Terms without our consent. We may assign them to an affiliate or to a successor in connection with a reorganisation or sale of the business.
• Severability: if any provision is unenforceable, the rest of the Terms remain in effect.
• No waiver: failure to enforce a provision is not a waiver.
• Force majeure: neither party is liable for failure to perform caused by events outside its reasonable control.
• Notices: to you, by email to your account address; to us, by email to legal@unreeltalent.ai.
